Ground level. One filing

A filing in plain words.

IQ Dragon reads a company's quarterly and annual reports and keeps the few lines that changed. Each line points back to the sentence it came from, so you can check it.

Ground level Example company D

Three lines kept from a quarterly report.

Example company D, a fictional maker of industrial pumps, files its 10-Q. Select a line of the summary to light the passage it rests on.

Item 2. Management's discussion and analysis of financial condition and results of operations

Results of operations

Net sales for the quarter increased 6.0% to $412.0 million from $388.7 million in the same quarter of the prior year. The increase reflects price increases across the municipal water product line, partly offset by lower shipment volumes of replacement parts to industrial customers.

Gross profit was $128.5 million. Gross margin decreased 140 basis points to 31.2%, as costs for iron castings and inbound freight rose faster than selling prices.

Liquidity and capital resources

During the quarter the Company borrowed $60.0 million under its revolving credit facility. The proceeds fund construction of a second assembly plant. Total debt was $300.0 million at quarter end, compared with $240.0 million at the end of the prior quarter.

Outlook

The Company expects demand for replacement parts to remain soft in the coming quarter.

Forward-looking statements. This report contains statements about future events and expectations that involve risks and uncertainties, and actual results may differ materially.

Left out of the summary: boilerplate that does not change a figure.

Core sample How a breakdown is made

Read it all, keep what moved, say it plainly.

  1. Step 1 of 4

    Read the filing

The whole 10-Q or 10-K, including the notes and the discussion by management, not only the tables.

  2. Step 2 of 4

    Pull the lines that changed

Sales, margins, debt, cash, and what management expects: the figures that moved against the prior period, and the reasons given for them.

  3. Step 3 of 4

    Say it plainly

One short sentence for each line, with the figure and the period it covers. Terms are defined or left out.

  4. Step 4 of 4

    Link the source

Every line points back to the passage it rests on, so you can read the company's own words.
